By accessing or using FloatGoat's services, including the embeddable widget, API, and associated dashboard (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.
These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and MiMO Co-op, doing business as FloatGoat ("FloatGoat," "we," "us," or "our"), a company based in Kansas City, Missouri, United States.
FloatGoat is a river intelligence platform that provides real-time water conditions data via an embeddable widget and API. The Services are sold to businesses — gear brands, retailers, and outfitters — who embed the widget on their own websites for use by their customers.
FloatGoat surfaces publicly available data from USGS, NOAA, NWS, and other public sources. End users of the widget are not direct customers of FloatGoat and are not parties to these Terms.
You must be at least 18 years of age and have the legal authority to enter into a binding contract on behalf of your business to use the Services.
You are responsible for maintaining the confidentiality of your API key and account credentials. You agree to notify FloatGoat immediately at joel@floatgoat.app if you suspect unauthorized use of your account or API key.
Each API key is authorized for use on one registered domain (Pro and Partner tiers) or multiple registered domains (Enterprise tier).
If a widget embed attempt is detected from a domain not registered to your account, FloatGoat will notify the account holder by email. Unlisted domain attempts are logged but not silently blocked without notice. Repeated unauthorized embed attempts may result in account review or suspension.
You are responsible for ensuring your registered domain information remains current and accurate.
FloatGoat offers the following subscription tiers:
* Pro — $299/month or annual equivalent
* Partner — $499/month or annual equivalent
* Enterprise — Custom pricing, contact joel@floatgoat.app
All payments are processed by Stripe. By subscribing, you authorize FloatGoat to charge your payment method on a recurring basis at the interval you select (monthly or annual).
Prices are subject to change with 30 days advance notice, except as provided in the Annual Pricing Guarantee below.
Customers subscribed to the Partner tier on an annual billing plan are guaranteed their contracted rate for the full duration of that subscription term. FloatGoat will not increase the Partner annual rate mid-term for any active annual subscriber. Upon renewal, current pricing will be communicated no fewer than 30 days in advance.
You may cancel your subscription at any time by contacting joel@floatgoat.app.
Monthly subscriptions: Cancellation takes effect at the end of the current billing period. No partial month refunds.
Annual subscriptions: Customers who cancel an annual subscription may request a prorated refund for any unused complete months remaining in their billing term. Refund requests must be submitted within 30 days of cancellation. Partial months are not refundable. Refunds are issued to the original payment method within 5–10 business days of approval.
Upon cancellation, your account and associated data will be deleted. An optional exit survey may be offered. No data will be held hostage or used as leverage to prevent cancellation.
If a payment method on file for an annual subscription is declined at the time of renewal, the account will be temporarily downgraded to the Demo tier for a grace period of five (5) business days. During this period, FloatGoat will send notification to the account's registered email address. If payment is not resolved within the grace period, the subscription will be cancelled and standard cancellation terms apply.
For monthly subscriptions, failed payments will result in immediate service suspension pending payment resolution.
Each subscription tier includes a monthly API call limit:
* Demo — 500 calls/month
* Pro — 5,000 calls/month
* Partner — 10,000 calls/month
* Enterprise — Unlimited
FloatGoat will notify you by email at 25%, 75%, 90%, and 100% of your monthly limit. When your limit is exhausted, the widget will display a service unavailable message until your limit resets or your tier is upgraded.
Call limits reset on the 1st of each month for monthly subscribers, and on the annual anniversary date for annual subscribers.
You agree not to:
* Embed the widget on domains not registered to your account
* Resell, sublicense, or redistribute API keys or widget access to third parties
* Reverse engineer, decompile, or attempt to extract the source code of the widget or API
* Use the Services in any manner that violates applicable law or regulation
* Attempt to circumvent usage limits, metering, or access controls
* Use the Services to transmit harmful, malicious, or unlawful content
Violation of these prohibitions may result in immediate account suspension or termination without refund.
The FloatGoat widget, API, dashboard, underlying software, brand, and documentation are the intellectual property of MiMO Co-op. These Terms do not transfer any ownership rights to you.
The underlying river conditions data is sourced from public government agencies (USGS, NOAA, NWS) and remains subject to those agencies' terms of use. FloatGoat's intelligence layer, presentation, and derived works are proprietary.
You retain ownership of any content you provide to FloatGoat, including gear panel content and registered domain information.
FloatGoat collects anonymous, aggregated usage data from widget sessions including river queries, session depth, device type, and gear panel interactions. No personally identifiable information is collected from end users of the widget.
Aggregate analytics reports derived from this data may be provided to you as part of your subscription. This data is PII-free by design and will not be sold or shared with third parties outside of the scope described in our Privacy Policy.
FloatGoat does not operate a formal service level agreement (SLA). Support is handled directly by FloatGoat staff. We commit to responding to all support inquiries within one business day.
Support is available at joel@floatgoat.app. There are no automated ticketing systems, bots, or no-reply addresses involved in customer communication.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. FLOATGOAT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA FROM THIRD-PARTY SOURCES (USGS, NOAA, NWS) WILL BE ACCURATE OR COMPLETE AT ALL TIMES.
River conditions data is provided for informational purposes only. FloatGoat assumes no liability for decisions made based on data provided through the Services.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOATGOAT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO FLOATGOAT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
FLOATGOAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold harmless FloatGoat, MiMO Co-op, and their respective officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
Informal Negotiation: Before initiating arbitration, you agree to first attempt to resolve any dispute informally by contacting FloatGoat at joel@floatgoat.app. The parties shall engage in good faith negotiations for a period of thirty (30) days from the date of written notice of the dispute.
Arbitration: If informal negotiation fails to resolve the dispute, it shall be resolved by binding arbitration in Kansas City, Missouri, United States, under rules mutually agreed upon by the parties. FloatGoat agrees to pay arbitration fees if they are deemed excessive.
Governing Law: These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict of law principles.
Litigation: If a dispute proceeds in court rather than arbitration, the exclusive jurisdiction and venue shall be the state and federal courts located in Missouri.
Time Limitation: Any claim arising out of or relating to these Terms must be brought within one (1) year of the date the claim arose, or it is permanently barred.
FloatGoat reserves the right to modify these Terms at any time. Material changes will be communicated to active subscribers via email at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
FloatGoat may suspend or terminate your account for violation of these Terms, non-payment, or fraudulent activity. You may terminate your account at any time per Section 7.
Upon termination, your right to use the Services ceases immediately. Sections 11, 14, 15, 16, and 17 survive termination.
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and FloatGoat regarding the Services.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of future enforcement.
Assignment: You may not assign your rights or obligations under these Terms without FloatGoat's prior written consent. FloatGoat may assign these Terms in connection with a merger, acquisition, or sale of assets.
